These Terms of Service ("Terms") are a binding agreement between the customer identified on the subscription order ("Agency", "you") and BirdenMedia LLC ("we", "us"), the operator of CommandVault (the "Service"). By creating an account or using the Service you agree to these Terms.
1. The Service
CommandVault is a software-as-a-service platform for asset tracking, quartermaster workflows, vehicle maintenance, inspections, and related operational accountability for small US law-enforcement agencies. The Service is expressly not intended to store Criminal Justice Information (CJI) as defined by the FBI CJIS Security Policy, and you agree not to use the Service for such purposes. 2. Accounts & subscription
You must designate at least one administrator for your Agency. You are responsible for the actions of every user you authorize. Subscriptions renew automatically unless cancelled before the end of the current term. Fees are payable in advance and are non-refundable except where required by law.
3. Tier limits
Each tier includes a soft officer and vehicle cap. Usage above the cap is blocked unless the Agency upgrades or we grant a written override. We reserve the right to meter, throttle, or charge overages for usage materially exceeding published limits.
4. Acceptable use
You agree to comply with our Acceptable Use Policy. We may suspend or terminate accounts that violate the AUP.
5. Customer data & ownership
As between the parties, you own all data you submit ("Customer Data"). You grant us a limited license to host, process, display, and transmit Customer Data solely to provide the Service. We will handle Customer Data in accordance with our Privacy Policy and, where applicable, our Data Processing Addendum.
6. Security
We maintain administrative, technical, and physical safeguards reasonably designed to protect Customer Data. Report suspected vulnerabilities to security@commandvault.app.
7. Intellectual property
The Service, including all software, design, logos, and documentation, is the property of BirdenMedia LLC and its licensors. Except for the limited right to use the Service, no rights are granted.
8. Warranties & disclaimers
The Service is provided on an "as is" and "as available" basis. We disclaim all implied warranties to the fullest extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. The Service is not evidentiary software. Reports generated by the Service are administrative records; admissibility and weight in any proceeding are determined by the applicable court or oversight body.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, or punitive damages. Our aggregate liability for any claim arising out of these Terms will not exceed the fees paid by the Agency in the twelve (12) months preceding the claim.
10. Indemnification
Each party will defend the other against third-party claims arising from its breach of these Terms or negligent acts, subject to prompt written notice and cooperation.
11. Term & termination
Either party may terminate for material breach uncured after thirty (30) days written notice. Upon termination we will delete Customer Data within 30 days unless retention is required by law.
12. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute not resolved by good-faith negotiation will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Wilmington, Delaware. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidentiality.
13. Changes
We may update these Terms. For material changes we will notify the billing contact at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance.
